From the help file they mention to check a few things – even if you
don’t think they are there you might want to check those install
directories or see if MSDE is already installed… You never know (plus,
I haven’t ever seen this warning when it wasn’t supposed to be there)

Checks for an existing database instance named AUTODESKVAULT. There are
three possible failure conditions for this check:
The installer found a Vault database that is incompatible with the
current release. The installer cannot upgrade this database to the new
release.
The installer found an existing vault file store and database files in
the installation locations. This may happen if you have uninstalled the
Autodesk Data Management framework and have also uninstalled the
MSSQL$AUTODESKVAULT database instance, resulting in vault data that is
no longer associated with the MSDE database.
The installer found an MSDE/Microsoft SQL Server database instance named
AUTODESKVAULT, but the database does not contain Vault data.
For condition 1
Use the Autodesk Vault Manager that was installed with the existing
vault system to back up your vault.
Install a newer version of Autodesk Vault that supports migrating the
data from the existing version.
Use the Autodesk Vault Manager that was installed with the newer version
to back up the vault again.
Uninstall the newer vault client but not the database.
Start this installation again.
For condition 2
Back up and then remove the files from the following locations:
